5. TERRITORIAL ORGANISATION OF THE PARTY
5.1. Territorial organisations of the Party shall be established in Marzes and in the communities of Yerevan. Chairmen of primary organisations, ex officio, shall be the members of the board of the territorial organisation.
5.2. The chairman of the territorial board and his/her deputy shall be elected from the staff of the territorial board members, for the term of two years, by open or secret ballot and simple majority of votes. By a decision of a territorial board, premature election of the chairman of the territorial board can be held. The primary organisation, the chairman of which is elected as a chairman or a deputy chairman of the territorial board, shall elect a new chairman. At the latest, in 20 days before a regular Congress of the Party a new election of the chairman of a territorial organisation or his/her deputy shall be held.
5.3. Sessions of a territorial board shall be held at least once a month. A session is legitimate, if at least 2/3 of the board members are present. Decisions shall be adopted by a simple majority of votes of present members, by an open or secret ballot. A secret ballot shall be held at the request of 1/3 of the present members. A territorial board shall report for its activities to the board of a regional organisation. The report is submitted once a year by the chairman of the territorial organisation. The territorial board transfers its financial income to the cashier’s office of the Party. By a decision of the regional organisation the mentioned income may be transffered to the territorial organisation. The territorial organisation of the Party shall submit reports on the expenditures to the regional board every six months.
5.4. A Party’s territorial board shall be entitled to propose the liquidation of the primary Party organisation to the regional board of the Party.
5.5. Territorial boards of communities of Yerevan shall report on their activities to the Board of the Party.
6. REGIONAL ORGANISATION OF THE PARTY
6.1. In the Marzes of the Republic of Armenia regional organisations of the Party shall be created, which are regional sub-divisions of the Party. The regional Board shall be formed of the chairmen and deputy chairmen of territorial organisations operating within the territory of a region.
6.2. A chairman of the regional board of the Party and his/her deputy shall be elected from the staff of the members of the regional board – by an open or secret ballot, by a simple majority of votes of present members, for the term of two years. By the decision of the regional board prescheduled election of the chairman of the regional board and his/her deputy may be held. The territorial organisation, whose leader is elected chairman of the regional board or his/her deputy, shall elect a new leader. At the latest in 15 days before a regular Congress of the Party the regional board shall hold a new election of the chairman and his/her deputy of the regional board.
6.3. Meetings of a regional board of the Party shall be held at least once a month. The meeting is legitimate, if at least 2/3 of the board members participates in it. Decisions of a regional board shall be taken by a simple majority of present members’ votes, by an open or secret ballot. A secret vote shall be conducted by the request of 1/3 of present members.
6.4. A regional board of the Party shall report for its activities to the Board of the Party. The report shall be submitted annually by the chairman of the regional board of the Party.
6.5. A regional board of the Party shall supervise activities of the territorial organisations. The regional board of the Party may liquidate the primary organisation of the Party – by its initiative or by the proposal of a territorial organisation of the Party. The regional board of the Party may submit the matter of liquidation of a territorial organisation of the Party to the Board of the Party.
7. STRUCTURAL SUBDIVISIONS OF THE PARTY
7.1. Structural subdivisions of the Party can be established and liquidated by a decision of the Board of the Party.
8. CONGRESS OF THE PARTY
8.1. The Party Congress is the superior body of the Party; decisions adopted at the Party Congress shall be imperative for Party members and bodies.
8.2. Regular Congresses of the Party shall be held once in two years. By a decision of the Party Board, a special Congress can be called. One month prior to the regular Congress, the chairman of the Party shall call a Party Board session where the draft agenda of the Congress is discussed.
8.3. The total number of delegates to the Party Congress shall be determined by the Board of the Party, based on the total number of Party members. The delegates shall be nominated at the meetings of the primary organisations of the Party. Congress is valid, if at least 2/3 of the delegates are present (registered). Decisions of the Congress shall be adopted by an open or secret ballot, by a majority vote of the present delegates. In cases when the Charter or the Programme are adopted, amendments in them are performed, the matter of reorganisation of the Party is taken up or when a candidate for the presidency is put up, the decisions are taken by the majority of the total votes of the delegates. A secret ballot is held at the request of 1/3 of present members.
8.4. Congress of the Party
- hear and confirm the report of the chairman of the Party;
- discuss and ratify the Programme, regulations of the Party and their proposed amendments and addendums;
- elect the chairman of the Party;
- elect the Board of the Party
- determine the strategic political way of the Party, mode of realisation of the Party’s purposes;
- hear and approve the report of Supervisory Commission of the Party;
- elect the Supervisory Commission of the Party – for supervision over the financial activity of the Party, the number of members of which shall be confirmed by the Congress of the Party. A member of the Supervisory Commission cannot be a member of the Board of the Party. The members of the Supervisory Commission shall elect the chairman of the Commission. The Supervisory Commission shall report only to the Congress of the Party.
- make a decision on the liquidation of the Party. The matter of liquidation can be incorporated into the Congress agenda by a decision made by the 2/3 of the members of the Board of the Party. The decision on the liquidation shall be taken by the total majority of the delegates, by an open ballot. After adopting the decision on liquidation of the Party, the Liquidation Commission shall be formed which shall manage the property of the Party and its financial resources in accordance with the decision of the Congress as prescribed by the legislation of RA.
