9. CHAIRMAN OF THE PARTY

9.1. The chairman of the Party shall be elected by the Congress – for a term of two years. Delegates of the Congress shall nominate candidacies for elections of the Party chairman. The candidate who obtaines maximal votes of the delegates of Congress as a result of a secret vote shall be elected the chairman of the Party.

9.2. The chairman of the Party shall propose candidacies for the chairman of the Board and vise-chairmen of the Party from the staff of the members of the Party Board. In case of absence of the chairman of the Party, the chairman of the Board or one of the Party chairman’s deputies shall perform the authorities of the chairman of the Party by the Party chairman’s instructions.

9.3. Chairman of the Party:

shall form an executive body of the Party, which shall consist of the chairman of the Board of the Party, deputies of the chairman of the Party, chairmen of the commissions and RPA faction leader in the NA. The executive body of the Party shall implement the decisions made by Congress and Board, directives of the chairman of the Party, consider and accomplish current tasks concerning the Party, proceed the projects of the documents necessary for the activity of the Party and submit them to the approval of the Board. By the proposal of the chairman of the Party the heads of the sub-divisions of the Party may also participate in the work of the executive body. On the instructions of the chairman of the Party the chairman of the Board of the Party one of the Party chairman’s deputies may hold the sessions of the Party’s executive body. The executive body shall supervise activities of territorial and structural subdivisions;
shall represent interests and position of the Party in the relationship with state and self-governmental bodies, public, political and international organisations or authorizes other members of the Party for it;
is an ex officio member of the Board of the Party;
shall call a meeting of the Board of the Party or of the executive body of the Party;
shall lead the work of the executive body and preside at the meetings of the Board, if nessessary;
shall confirm the decisions of the Board of the Party on publishing an official paper and other periodicals;
shall form his/her staff;
may create deliberative bodies;
shall confirm all necessary documents on behalf of the Party;
shall determine the areas of immediate systematisation by vise-chairmen of the Party;
shall perform the general management of the Party;
shall submit the proposals of the executive body of the Party to the confirmation of the Board of the Party;
shall submit the candidacies of leader of the RPA faction in the NA, vise-chairmen, chairmen of the commissions of the Party and heads of the structural subdivisions to the confirmation of the Board of the Party.

Official positions of the Party shall be expressed by the chairman of the Party and his/her deputies.

10. BOARD OF THE PARTY

10.1. The Board of the Party is the permanently functioning governing body of the Party. The Board of the Party shall be elected at the Party Congress. The candidacies for the Party’s Board membership shall be proposed by the delegates of the Party Congress. The Board of the Party shall be deemed formed, if at least the 2/3 of its members are elected.

10.2. Chairmen of the regional boards of the Party , chairmen of the Boads of the territorial organizationas of Yerevan, heads of the structural subdivisions are ex officio members of the Board of the Party. The number of the members of the Party Board shall be determined by the Congress of the Party. The election of the Party Board members shall be held by a secret ballot. The candidates who obtained the most amount of Congress delegates' votes shall be considered elected.

10.3. The sessions of the Board shall be called at least once a month. The chairman of the Party or the 1/3 of the members of the Board shall be entitled to call a special session. The session is legitimate if at least the 2/3 of the members of the Board are present.

10.4. A member of the Board may suspend his/her activities in the Board. The matter of suspension of his/her activities may also be discussed at the request of the chairman of the Party or the 1/3 of members of the Board. The decision shall be taken by the 2/3 of members of the Board, by an open ballot. The Board is valid, if the 2/3 of its members are available.

10.5. Board of the Party:

shall call a regular or extraordinary Congress;
shall supervise preparatory activities for the calling the Congress of the Party;
shall supervise the implementation of decisions adopted by the Congress and by itself;
shall confirm the Party ideology, drafts of programmatic and statutory documents, principles of the Party’s tactics, worked out and presented by the executive body, make statements and proposals on behalf of the Party;
shall confirm the main trends of the activity of the Party’s faction in the National Assembly;
shall take a decision on establishment and liquidation of the structural subdivisions by an offer of the chairman of the Party, approve candidacies for leaders of the structural subdivisions by a proposal of the chairman of the Party;
shall supervise the activities of the press, information and publishing services of the Party;
may liquidate a territorial party organisation at the suggestion of a regional board of the Party;
may liquidate a regional party organisation at the suggestion of the Party chairman and by his/her own initiative;
shall approve the candidacies for the chairman of the Boasrd, Party chairman’s deputies, chairmen of commissions and the heads of the structural subdivisions at the suggestion of the chairman of the Party;
shall annually hear reports of the regional boards of the Party;
shall confirm candidacies for the delegates to the NA proposed by the Party;
shall approve the election programme of the Party;
shall confirm the candidacy for the leader of the Party’s faction in the National Assembly.

10.6. The Board of the Party shall terminate its authority on the first day of a regular Congress or special Congress called for the Party Board election agenda.

10.7. Chairman of the Board of the Party:

shall hold the session of the Board of the Party;
is an ex officio deputy of the chairman of the Party, member of the executive body;
shall express official positions of the Party;
undertakes the obligations of the chairman of the Party, in case of his/her absence;

11. FINANCIAL RESOURCES AND THE PROPERTY OF THE PARTY

11.1. The Party's financial resources shall be formed from:

membership fees;
other sources not prohibited by laws.

11.2. The Party can possess buildings, financial resources and means of transportation necessary for the implementation of programmatic and other statutory purposes.

11.3. The chairman of the Party, the Board of the Party and boards of regional organisations shall manage financial resources of the Party in accordance with the budget approved by the Board of the Party.

12. FINAL PROVISIONS

12.1. The Party enjoys all rights of a legal entity stipulated by the RA Constitution and laws, as well as bears liabilities prescribed therein.

12.2. The Party has a banner, a letterhead, a round seal, a bank account both in national and in foreign currencies. Only the chairman of the Party is entitled to use the seal. A member of the Board of the Party shall also be authorized to use it by a decision of the chairman of the Party.

12.3. The banner of RPA is a white bunting with golden fringe, in the center of which the symbol of RPA is depicted in the aspect ratio of 1X2. The symbol of RPA is the traditional Armenian symbol of eternity with 8 clock-wise petals, a sword and an eagle with spread wings are depicted in the center.

12.4. It is obligatory to have the symbol of RPA on the banner, seal, letterhead and а breastplate of RPA. It is permited to make souvenirs with depiction of the symbol of PRA only by a decision of the Board of RPA.

12.5. The legal address of the Party is: 2 Melik-Adamyan St., Yerevan.
